Early Access Agreement

This Early Access Invitation Agreement (“Agreement”) is entered into between For Good AI Inc. (dba Blumo Inc.), a Delaware corporation (“Company”), and the individual or entity accepting this Agreement (“Participant”). When an individual accepts this Agreement on behalf of an entity, “Participant” refers to that entity, not the individual. Company and Participant are each referred to as a “Party” and collectively as the “Parties.” This Agreement governs Participant’s access to and use of pre-release features, functionality, products, services, tools, and related technology made available by Company through the Early Access Program (defined below).

Electronic Acceptance. By clicking “Accept,” “I Agree,” or similar button or checkbox, or by accessing or using Early Access Features after receiving this invitation, you agree to be bound by this Agreement.

If you are entering into this Agreement on behalf of an entity or organization, then you represent and warrant that: (i) you have full legal authority to bind that entity or organization to this Agreement; (ii) you have read and understand this Agreement; and (iii) you agree, on behalf of that entity or organization, to this Agreement. Participation by government agencies, public universities, or other public-sector entities requires Company’s prior written approval.

1. Early Access Program

1.1 Program Description. Company may invite selected users to participate in its Early Access Program (“EAP”), which provides access to experimental features, functionality, and services prior to general commercial release (“Early Access Features”). Company values the insights and expertise of its participants and design partners and views this EAP as a collaborative opportunity to advance AI-powered tools.

1.2 Participant Benefits. In exchange for Feedback (defined below), Company will (a) provide Participants with dedicated support channels related to the Early Access Features; and (b) offer priority consideration for additional feature requests.

1.3 Invitation Process. Participation in the EAP is by invitation only. Company will send email invitations to selected participants containing a unique access link. By clicking the link and completing the acceptance process, Participant agrees to the terms of this Agreement. Invitations are non-transferable and expire 30 days from the date sent unless otherwise specified.

1.4 Relationship to Existing Agreements. For existing Company customers, this Agreement supplements but does not replace any existing agreement between the parties. Early Access Features are provided in addition to any licensed services under existing agreements.

2. License and Restrictions

2.1 Limited License. Subject to the terms of this Agreement, Company grants Participant a non-exclusive, non-transferable, revocable license to use Early Access Features solely for evaluation, testing, providing Feedback to Company, and internal business assessment. Participant may make Early Access Features available only to its employees, contractors, and advisors who have a need to know for those permitted purposes and who are bound by confidentiality obligations at least as protective as those in this Agreement. Participant may integrate Early Access Features with Participant’s existing development workflows and projects solely for evaluation purposes.

2.2 Platform Access.

(a) Existing Subscribers. For Participants with active subscriptions to Company’s platform services, Early Access Features are made available as an addition to Participant’s existing license and subscription.

(b) Non-Subscribers. For Participants without active platform subscriptions, Company grants a limited, no-charge license to access Company’s platform services solely to the extent necessary to participate in the Early Access Features program. This limited platform access: (i) is provided at no charge during the term of this Agreement; (ii) does not include access to Company’s generally available features or services beyond what is required for Early Access Feature functionality; and (iii) terminates automatically upon termination of this Agreement.

2.3 Restrictions. Participant may not:

(a) use Early Access Features in commercial production environments or for revenue-generating activities;

(b) reverse engineer, decompile, or disassemble Early Access Features;

(c) distribute, sublicense, or transfer access to any third party; or

(d) use Early Access Features to develop competing products or services.

2.4 No Service Level Commitments. Early Access Features are provided without any uptime guarantees, service level agreements, or performance commitments.

2.5 Acceptable Use. Participant will not use the Early Access Features to: (a) violate applicable law or third-party rights; (b) develop, generate, or distribute malware, malicious code, or content intended to compromise, disrupt, or gain unauthorized access to any system, network, account, or data; (c) attempt to probe, scan, bypass, disable, or interfere with the security, integrity, or operation of the Early Access Features or any related systems; (d) submit sensitive personal information, regulated data, credentials, secrets, production data, or other high-risk data unless Company has expressly approved such use in writing; (e) infringe, misappropriate, or violate any intellectual property, privacy, publicity, or other rights; (f) use the Early Access Features for unlawful, deceptive, harmful, or abusive purposes; or (g) use the Early Access Features in a manner that could materially harm Company, its systems, its providers, or other users. A violation of this section is a material breach of this Agreement.

3. Confidentiality

3.1 Confidential Information. Early Access Features and all related information, including functionality, performance characteristics, and technical specifications, constitute Company’s confidential information.

3.2 Non-Disclosure. Participant agrees not to disclose, discuss, or publish information about Early Access Features without Company’s prior written consent. This includes restrictions on social media posts, public forums, and technical documentation.

3.3 Feedback. Any feedback, suggestions, comments, ideas, bug reports, or other input provided by Participant about the Early Access Features or Company’s products or services (“Feedback”) must (a) be truthful; (b) originate from Participant or its authorized users; and (c) not contain any third party’s confidential information. Feedback will not be treated as Participant’s confidential or proprietary information, even if marked as confidential or proprietary. Participant grants Company a perpetual, irrevocable, non-exclusive, worldwide, sublicensable, royalty-free, fully paid-up license to use, reproduce, modify, create derivative works from, and otherwise exploit Feedback for product development, improvement, analytics, commercialization, and related business purposes without restriction or compensation to Participant. Participant acknowledges that Company may use any positive feedback, testimonials, or endorsements about the Early Access Features or Company’s products for marketing, promotional, and commercial purposes, including in marketing materials and on Company’s website.

4. Disclaimers and Limitations

4.1 Experimental Nature. Early Access Features are experimental, incomplete, and subject to change or discontinuation without notice. Early Access Features may not function as expected and may contain errors or bugs.

4.2 NO WARRANTIES. EARLY ACCESS FEATURES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. COMPANY MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, FITNESS, OR NON-INFRINGEMENT OF ANY OUTPUT GENERATED BY EARLY ACCESS FEATURES. PARTICIPANT ACKNOWLEDGES THAT OUTPUT MAY CONTAIN ERRORS OR BE SUBJECT TO THIRD-PARTY RIGHTS AND IS SOLELY RESPONSIBLE FOR ENSURING OUTPUT IS APPROPRIATE BEFORE USE OR DISCLOSURE.

4.3 Data Backup. Participant is solely responsible for backing up data before using Early Access Features. Company is not liable for any data loss, corruption, or unavailability.

4.4 LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO EARLY ACCESS FEATURES, INCLUDING BUSINESS INTERRUPTION, LOST PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. COMPANY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR EARLY ACCESS FEATURES WILL NOT EXCEED $100.

5. Intellectual Property

5.1 Company IP. Company retains all rights, title, and interest in Early Access Features, the underlying platform, and all related intellectual property, including but not limited to proprietary algorithms, models, software, and know-how.

5.2 Participant Content.Participant Content” means content, information, or data submitted, uploaded, integrated, or otherwise provided by or on behalf of Participant to Early Access Features (“Input”), as well as any content generated by Early Access Features based on or derived from such Input (“Output”). Participant Content explicitly excludes Feedback and Company’s underlying technology. Participant retains ownership of Participant Content, subject to Company’s rights to Feedback as described in Section 3.3. Participant acknowledges that Output may be similar to content generated for other participants and that Participant’s rights in such Output are non-exclusive. Participant represents and warrants that it has all necessary rights to provide Input to Early Access Features and is responsible for ensuring its use of Output complies with applicable law and third-party rights, including but not limited to intellectual property rights.

6. Data and Privacy

6.1 Data Collection. Company may collect, generate, and derive performance, analytical, or usage data relating to Participant’s access to or use of Early Access Features (“Usage Data”). Usage Data will not include any Participant Content and will be limited to technical metrics, which may include API calls, response times, error rates, feature usage patterns, and system performance data. Usage Data is Company’s Confidential Information and Company may retain Usage Data indefinitely for business purposes including service improvement, security, and analytics.

6.2 Personal Information. Company may process personal information in connection with the EAP, including account information, workspace and collaboration information, user identifiers, license details, support communications, usage data, and personal information that may be included in prompts, comments, @mentions, workspace activity, integrations, Input, or Output. Participant is responsible for ensuring that it has the rights, notices, permissions, and consents necessary to submit or make available personal information through the Early Access Features. Participant will not intentionally submit sensitive personal information or personal information that is not reasonably necessary for participation in the EAP. Company will process personal information to provide, secure, support, evaluate, and improve the Early Access Features and as otherwise described in Company’s applicable privacy policies and data protection terms.

7. Compensation

7.1 No Compensation. While Company will not provide monetary compensation for Participant’s participation in the EAP, Participants receive valuable early access to pre-release features, an opportunity to provide direct product input, dedicated support channels, and priority consideration for future programs.

8. Export Controls and Sanctions

8.1 Export Compliance. Participant represents that it is not located in a country subject to U.S. export restrictions and is not on any U.S. government restricted party list. Participant will comply with all applicable export control laws in its use of Early Access Features.

9. Term and Termination

9.1 Term. This Agreement begins upon acceptance and continues until terminated by either Party.

9.2 Termination. Either Party may terminate this Agreement at any time without cause. For termination without cause, Company will provide 15 days’ advance notice to Participants, except in cases of a material breach, security concerns, or program discontinuation. Company may, at its sole discretion, also terminate this Agreement: (a) immediately upon cancellation or discontinuation of Company’s EAP; (b) when Early Access Features are generally released or discontinued by Company; (c) immediately if Participant was an existing Company customer and the underlying service agreement between the Parties is terminated or expires; or (d) immediately upon material breach of this Agreement by Participant.

9.3 Feature-Specific Termination. Company may terminate Participant’s access to specific Early Access Features when such features become generally available through Company’s standard subscription services, with or without notice to Participant.

9.4 Effect of Termination. Upon termination of this Agreement: (a) Participant’s access to Early Access Features will cease immediately; (b) Participant shall cease all use of Early Access Features and, upon Company’s request, return or destroy any confidential information received from Company; (c) each Party may retain Participant Content as permitted under Section 5 and in accordance with applicable privacy policies; and (d) all provisions that under their terms or by implication ought to survive will survive, including Section 3; Sections 5-6, and Sections 8-10.

10. General Provisions

The following general terms apply to this Agreement:

10.1 Entire Agreement. This Agreement constitutes the entire agreement regarding the EAP and its Early Access Features and supersedes all prior communications on this subject.

10.2 Modifications. Company may modify this Agreement by providing notice to Participant via email to the address associated with Participant’s invitation. For material changes, Participant will be required to accept the updated terms through the same electronic acceptance process before continuing to access Early Access Features. Continued use after the effective date of non-material changes constitutes acceptance of modifications and any subsequent modifications.

10.3 Assignment. Participant may not assign any part of this Agreement without Company’s prior written consent. Company may assign its rights or delegate its obligations under this Agreement.

10.4 Independent Contractors. The Parties are independent contractors. This Agreement does not create any agency, partnership, joint venture, or employment relationship.

10.5 Notices. All legal notices must be in English, in writing (which may be by email), and addressed to the email address provided during the invitation process for Participant, and to notice@forgood.ai for Company. If email delivery fails, notices to Company may be sent to For Good AI Inc., 500 W Hamilton, 112550, Campbell, California 95008, USA.

10.6 Electronic Communications and Acceptance. Participant consents to receive this Agreement and all related communications electronically. Company will maintain electronic records of Participant’s acceptance, which will constitute sufficient proof of Participant’s agreement to the terms outlined herein.

10.7 Waiver. No failure or delay by either Party in exercising any right under this Agreement will constitute a waiver of that right. Any waiver must be in writing and signed by the waiving Party.

10.8 Severability. If any provision is found unenforceable, the remainder of this Agreement remains in effect.

10.9 Governing Law; Disputes. This Agreement is governed by the laws of the State of California, without regard to conflict of laws rules. The state and federal courts located in Santa Clara County, California will have exclusive jurisdiction over any dispute arising out of or relating to this Agreement or the Early Access Features, and each Party consents to personal jurisdiction and venue in those courts.
